Ambassador Agreement

This Ambassador Agreement (the “Agreement”) is entered into as of the date of execution (the “Effective Date”) by and between Exclusive World Enterprises Corp., d/b/a Kimani Life (“Kimani Life”) and the undersigned ambassador (“Ambassador” or “You”). Kimani Life and the Ambassador may be referred to individually as a “Party” or collectively as the “Parties.”

Term & Renewal

This Agreement shall commence on the date the individual is officially accepted to join the club as an Ambassador (the “Effective Date”) and shall remain in effect for a period of three (3) years (the “Initial Term”), unless earlier terminated in accordance with the provisions herein.

Upon expiration of the Initial Term, this Agreement shall automatically renew for successive one (1) year terms (each, a “Renewal Term”) unless either party provides written notice of its intent not to renew at least thirty (30) days prior to the expiration of the then-current term.

1. Kimani Life Platform Access & Role

• Kimani Life provides access to its exclusive membership platform, in collaboration with global service providers and sponsors.
• Selected individuals, including Ambassadors, are granted access under the terms and conditions outlined in this Agreement.
  
• The Ambassador is granted a non-exclusive, non-transferable, non-sublicensable, limited right to access and use the platform during the term of this Agreement.

2. Ambassador Role & Responsibilities

The role of an Ambassador at Kimani Life is one of prestige, privilege, and influence. Ambassadors serve as representatives and are critical in expanding and enriching the Kimani community.

Ambassadors agree to:

• Invite Members - Ambassadors consistently recommend and invite high-quality like mind potential members to join our club.
  ‍
• Consistent Engagement – Ambassadors post and engage weekly within the local community sections of the platform assigned to them, ensuring all content is relevant, accurate, and aligned with Kimani Life’s mission. Global ambassadors must contribute to the global community sections of the platform.

• Content Contribution – Share valuable news, insights, links, and event information about their local destination to foster engagement.
  ‍
• Local Representation – Share updates on local events, activities, and opportunities relevant to the Kimani community.
  ‍
  
• Community Liaison – Serve as a point of contact between members and the Kimani Life team, assisting with inquiries, resolving issues, and ensuring a positive experience.
  ‍
• Business Development & Referrals – Introduce Kimani Life to potential sponsors and service providers. Ambassadors earn a 20% commission for every successful program sale.
  ‍
• Network Expansion – Identify and invite high-quality potential, sponsors, vendors, and ambassadors to join the Kimani Life ecosystem.
  ‍
• Community Standards & Conduct – Foster a positive, inclusive, and ethical environment within all Kimani Life interactions. Report any misconduct or policy violations to management.

• Problem-Solving & Support – Address challenges swiftly and professionally, ensuring member satisfaction is a priority.
  ‍
• Compliance & Confidentiality – Adhere to all Kimani Life rules, regulations, and policies, and maintain strict confidentiality regarding privileged information.

3. Ambassador Benefits & Incentives

Ambassadors receive exclusive benefits based on their level of engagement and contribution:

• Invitation Privileges – Ability to invite select individuals to Kimani Life, subject to Kimani Committee approval.

• Tiered Rewards Program – Ambassadors progress through three levels: Silver, Gold, and Platinum, based on engagement, referrals, and contributions.
  ‍
• Exclusive Discounts – Enjoy premium offers and luxury discounts as part of the Kimani Life network.
  ‍
• VIP Event Access – Receive priority invitations to Kimani Life events, including networking soirées, private galas, and bespoke experiences.
  ‍
• Global Networking – Connect with a distinguished community of high-net-worth individuals, business leaders, and innovators worldwide.

4. Non-Disclosure & Confidentiality

The Ambassador acknowledges that they will have access to confidential and proprietary information about Kimani Life, including member data, business strategies, and partnerships. This information must not be shared, disclosed, or used outside their ambassador role. Any unauthorized disclosure must be reported immediately. This obligation remains in effect for three (3) years after termination.

5. Non-Compete & Non-Solicitation

To uphold Kimani Life’s exclusivity, the Ambassador shall not be involved in the management or ownership of any competing private global membership club during their tenure and for one (1) year after termination. Additionally, they may not solicit or recruit Kimani Life members, ambassadors, sponsors, service providers, partners and employees for any entity. Violations may result in legal action and financial penalties.

6. Indemnification

The Ambassador agrees to indemnify, defend, and hold harmless Kimani Life, its affiliates, officers, directors, employees, agents, licensors, suppliers, and third-party partners from any claims, damages, losses, or liabilities (including legal fees and court costs) arising from:

• Breach of this Agreement or any violations of Kimani Life policies.

• Violation of applicable laws, regulations, or third-party rights concerning the Ambassador’s activities on the platform.

7. Governing Law & Dispute Resolution

• This Agreement shall be governed by and interpreted under the laws of the State of Florida, USA, without regard to conflict of law principles.

• Any disputes arising under this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA).

8. Termination & Compliance

• Kimani Life reserves the right to suspend, revoke, or remove Ambassador status at any time for any reason and if the Ambassador fails to comply with this Agreement or engages in conduct detrimental to the community.

9. Agreement Acceptance

By signing below, the Ambassador acknowledges and agrees to the terms and conditions outlined in this Agreement.
